Introduction

Welcome to ETG One Stop Solution, a digital marketplace and agricultural services platform. By accessing or using the Platform, you agree to comply with and be bound by the following terms, policies, and legal documents ("Terms"). Please read these documents carefully before using the Platform.

1. MASTER TERMS & CONDITIONS OF USE

Applicable Jurisdictions: Rwanda, Kenya, Uganda, Tanzania, Zambia, Malawi, Mozambique, Ghana

1. Definitions & Interpretation

In these Terms & Conditions, the following definitions apply unless the context otherwise requires:

  • "Platform" means the ETG One Stop Solution mobile application, website, and all associated digital services operated by ETG.
  • "ETG" or "Company" refers to Export Trading Group and its subsidiaries, affiliates, and local operating entities registered in each respective jurisdiction.
  • "User" means any individual or entity that accesses, downloads, registers on, or uses the Platform in any capacity, including Farmers, Agro-Dealers, NGOs, Extension Officers, and ETG Staff.
  • "Seller" means an independent third-party vendor, distributor, or agro-dealer who lists and sells products through the Platform's Mart feature.
  • "Buyer" means a User who purchases products or services through the Platform Mart.
  • "Agri-Inputs" means seeds, fertilizers, crop protection products (herbicides, insecticides, fungicides, foliar fertilizers, plant growth regulators), farm tools, and agricultural equipment listed on the Platform.
  • "Falcon Wallet" means the integrated digital wallet and financial management feature of the Platform.
  • "Agricultural Advisory Content" means weather forecasts, agronomic tips, crop manuals, pest and disease alerts, expert advice, and any other informational content provided through the Platform.
  • "Services" means all features provided by the Platform including but not limited to the Mart, Falcon Wallet, Agricultural Advisory, Crop Doctor, Agroforum, ETG News, and Weather Forecast.
  • "Applicable Law" means the laws, regulations, and regulatory frameworks of the jurisdiction in which the User accesses the Platform.

2. Platform Nature & Intermediary Status

CRITICAL LEGAL NOTICE — READ CAREFULLY

ETG One Stop Solution operates exclusively as a DIGITAL INTERMEDIARY MARKETPLACE PLATFORM. ETG is NOT a seller, manufacturer, distributor, or supplier of any products listed on the Platform by independent Sellers. ETG does not take title to, possession of, or responsibility for any goods transacted between Sellers and Buyers.

2.1 ETG One Stop Solution App is a technology platform that:
  • Connects independent Sellers with Buyers of agricultural inputs and services;
  • Provides informational, advisory, and digital tools to the agricultural community;
  • Facilitates payment processing and order management between Sellers and Buyers;
  • Does not manufacture, own, warehouse, handle, inspect, or guarantee any products listed by third-party Sellers.
2.2 ETG's role is limited to:
  • Providing and maintaining the digital marketplace infrastructure;
  • Onboarding and verifying Seller credentials at the time of registration (without ongoing guarantee of compliance);
  • Facilitating communication and dispute resolution between Sellers and Buyers;
  • Enforcing Platform policies and Terms & Conditions.
2.3 By using the Platform, all Users acknowledge and agree that:
  • ETG is not a party to any contract of sale concluded between a Seller and a Buyer;
  • ETG does not warrant the quality, safety, legality, authenticity, or fitness for purpose of any products listed by Sellers;
  • All contractual rights and obligations in respect of product sales arise exclusively between the Seller and the Buyer.

3. User Eligibility & Registration

3.1 Age Requirement:

Users must be at least 18 years of age, or the age of majority in their jurisdiction, whichever is higher.

3.2 Legal Capacity:

By registering, Users confirm they have full legal capacity to enter into binding agreements under Applicable Law.

3.3 Business Users:

Sellers and Agro-Dealers registering as business entities confirm they are duly incorporated and authorized to conduct business in their respective jurisdiction.

3.4 Accurate Information:

Users must provide accurate, current, and complete registration information. Users are solely responsible for maintaining the confidentiality of their account credentials.

3.5 Account Responsibility:

The registered User is solely responsible for all activities conducted through their account. ETG shall not be liable for any loss or damage arising from unauthorized use of a User's account.

3.6 One Account Policy:

Each User or business entity is permitted one account. ETG reserves the right to terminate duplicate accounts.

4. Agricultural Advisory Content — Disclaimer of Liability

IMPORTANT AGRICULTURAL DISCLAIMER

All Agricultural Advisory Content provided on the Platform — including weather forecasts, agronomic recommendations, crop manuals, pest alerts, fertilizer recommendations, and expert advice — is provided for GENERAL INFORMATIONAL PURPOSES ONLY. It does not constitute professional agronomic, scientific, or agricultural consulting advice.

4.1 ETG shall not be held liable for:
  • Any crop loss, yield reduction, livestock damage, financial loss, or personal injury arising from reliance on Agricultural Advisory Content;
  • Inaccuracies in weather forecast data provided through third-party meteorological services;
  • Recommendations that may not account for local soil conditions, climate variations, crop varieties, or pest resistance;
  • Any decisions made by Users based on Crop Doctor AI diagnostic outputs or disease identification features.
4.2 Users should always:
  • Independently verify Agricultural Advisory Content with qualified agronomists or extension officers before acting;
  • Conduct small-scale trials before full-scale application of any recommended inputs;
  • Comply with all national, regional, and local regulations governing the use of agrochemicals and fertilizers.
4.3 Jurisdiction-Specific Compliance:

Users are responsible for ensuring that the use of any recommended product or practice complies with applicable agricultural regulations in their country, including but not limited to registration requirements under:

  • Rwanda Agriculture Board (RAB) — Rwanda
  • Kenya Plant Health Inspectorate Service (KEPHIS) — Kenya
  • Uganda National Agrochemicals Control Board (UNACB) — Uganda
  • Tanzania Fertilizer Regulatory Authority (TFRA) — Tanzania
  • Zambia Agriculture Research Institute (ZARI) — Zambia
  • Malawi Agriculture and Irrigation Development — Malawi
  • Instituto de Investigacao Agraria de Mocambique (IIAM) — Mozambique
  • Ghana Cocoa Board & PPRSD (Plant Protection and Regulatory Services Directorate) — Ghana

5. Falcon Wallet & Financial Services

5.1 Nature of Falcon Wallet:

The Falcon Wallet is a digital cash flow management and planning tool integrated into the Platform to facilitate agricultural financial planning and marketplace transactions.

5.2

ETG is not a licensed bank, financial institution, or payment service provider under the banking and financial laws of any jurisdiction unless separately registered and licensed.

5.3 Limitation of Financial Liability:

ETG shall not be liable for:

  • Loss of funds due to User error, unauthorized access resulting from User negligence, or third-party fraud;
  • Failed transactions due to technical errors, connectivity issues, or third-party payment processor failures;
  • Exchange rate fluctuations or conversion losses;
  • Any financial decisions made using Wallet-based cash flow planning tools.
5.4 Transaction Finality:

Users are responsible for verifying all transaction details before confirmation. ETG shall not be obligated to reverse completed transactions except in cases of verified platform error.

5.5 Mobile Money Integration:

The Platform may integrate with local mobile money services. ETG is not responsible for the terms, service levels, or failures of third-party mobile money operators.

6. Marketplace & E-Commerce Rules

6.1 Listing Accuracy:

Sellers are solely responsible for the accuracy of product listings, including description, price, expiry date, registration status, and applicable regulatory compliance.

6.2 Prohibited Listings:

The following may not be listed on the Platform:

  • Unregistered or banned agrochemicals, pesticides, or fertilizers;
  • Counterfeit or adulterated products;
  • Products that violate any applicable law in the target jurisdiction;
  • Products whose sale is restricted or regulated without the Seller holding the required license.
6.3 ETG's Right to Remove:

ETG reserves the right, without notice, to remove any listing that violates these Terms, applicable law, or platform standards.

6.4 Buyer Responsibility:

Buyers are responsible for verifying the suitability of products for their specific use, soil type, climate, and crop before purchase.

7. Intellectual Property Rights

7.1

All intellectual property on the Platform — including but not limited to the ETG brand, logo, app design, content, crop manuals, advisory materials, software code, database structures, and training materials — is the exclusive property of ETG or licensed to ETG.

7.2

Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose. This license does not permit:

  • Copying, reproducing, or redistributing Platform content;
  • Reverse engineering, decompiling, or disassembling the application;
  • Using ETG's brand, logo, or name for commercial purposes without prior written consent.
7.3 User-Generated Content:

By submitting content on Agroforum, product reviews, or other community features, Users grant ETG a perpetual, royalty-free, worldwide license to use, reproduce, and distribute such content.

8. Limitation of Liability

LIABILITY CAP — APPLIES IN ALL JURISDICTIONS

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ETG's TOTAL AGGREGATE LIABILITY TO ANY USER SHALL NOT EXCEED THE AMOUNT PAID BY THAT USER TO ETG (NOT TO SELLERS) IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8.1

ETG shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to:

  • Loss of crops, income, profit, or livelihood;
  • Loss of data or digital assets;
  • Business interruption or loss of business opportunity;
  • Physical harm or property damage arising from use of products purchased through the Mart;
  • Any damage arising from reliance on Agricultural Advisory Content.
8.2 ETG does not warrant that:
  • The Platform will be error-free, uninterrupted, or secure at all times;
  • Weather forecasts, advisory content, or AI-generated outputs will be accurate or complete;
  • Sellers will fulfill orders, honor returns, or comply with their legal obligations.

9. Indemnification

9.1 User Indemnity:

Each User agrees to indemnify, defend, and hold harmless ETG, its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or relating to:

  • The User's breach of these Terms & Conditions;
  • The User's violation of Applicable Law;
  • Any product listed, sold, or delivered by the User as a Seller;
  • Any dispute between the User and another User;
  • Any content posted by the User on the Platform.
9.2 Seller Indemnity (Additional):

Each Seller specifically indemnifies ETG against all claims arising from product quality, safety, regulatory non-compliance, false advertising, and failure to process returns or refunds.

10. Governing Law & Dispute Resolution

10.1 Primary Governing Law:

These Terms are governed by the laws of the United Arab Emirates (UAE), being the jurisdiction of ETG's headquarters, subject to the mandatory consumer protection provisions of the User's local jurisdiction.

10.2 Mandatory Local Law Compliance:

ETG and Users are subject to the mandatory provisions of consumer protection legislation in each operating jurisdiction:

10.3 Dispute Resolution Process:
Step 1 — Direct Resolution:

The User first attempts resolution through in-app support or support@etgonestopsolution.com within 30 days of the issue arising.

Step 2 — Mediation:

If unresolved, either party may refer the dispute to a neutral mediator agreed upon by both parties within 14 days.

Step 3 — Arbitration:

If mediation fails, the dispute shall be resolved by binding arbitration under the UNCITRAL Arbitration Rules, with the seat of arbitration in Dubai, UAE. The arbitration shall be conducted in English.

Step 4 — Court:

Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

10.4 Class Action Waiver:

To the maximum extent permitted by Applicable Law, Users waive any right to bring or participate in any class action, collective proceeding, or representative action against ETG.

11. Termination & Suspension

11.1

ETG may suspend or terminate any User account immediately and without prior notice if the User:

  • Breaches these Terms & Conditions;
  • Provides false or misleading information during registration or on product listings;
  • Engages in fraudulent activity, including false return or refund claims;
  • Violates any Applicable Law;
  • Causes harm to other Users, Sellers, or the ETG platform ecosystem.
11.2

Upon termination, the User's right to access the Platform ceases immediately. Pending transactions may be cancelled or completed at ETG's discretion.

11.3

ETG shall not be liable for any loss arising from account suspension or termination made in good faith.

12. Force Majeure

ETG shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond ETG's reasonable control including acts of God, natural disasters, pandemic, war, civil unrest, government restrictions, network outages, power failures, third-party service disruptions, or any other event constituting force majeure under Applicable Law.

13. Amendments

ETG reserves the right to modify these Terms at any time. Material changes will be notified via the application. Continued use of the Platform following notification constitutes acceptance of the amended Terms.

2. RETURN, REFUND & CANCELLATION POLICY

Applicable Jurisdictions: Rwanda, Kenya, Uganda, Tanzania, Zambia, Malawi, Mozambique, Ghana

PLATFORM INTERMEDIARY NOTICE

ETG One Stop Solution acts exclusively as a digital marketplace platform. All products are sold by independent Sellers. Refunds, returns, and cancellations are the primary responsibility of the Seller. ETG facilitates the process but does not directly issue refunds unless acting as the direct seller.

1. Order Cancellation

1.1 Buyer Cancellation — Before Dispatch:

A Buyer may cancel an order within 12 hours of placement, or prior to confirmation of dispatch by the Seller, whichever is earlier. Upon valid cancellation, the Seller is obligated to issue a full refund without undue delay.

1.2 Buyer Cancellation — After Dispatch:

Once an order has been dispatched, cancellation is not permitted. The Buyer may submit a return request subject to Section 2 below.

1.3 Seller-Initiated Cancellation:

A Seller may cancel an order where: (a) the product is out of stock; (b) there is a pricing or listing error; or (c) regulatory or logistical constraints arise. In all such cases, the Seller must issue a full refund to the Buyer within 5 working days.

1.4 ETG-Initiated Cancellation:

ETG may cancel an order where fraud is suspected, where a product listing violates Platform policies, or where required by law. ETG shall facilitate refund processing in such cases.

2. Return Policy

2.1 Return Eligibility:

A Buyer is entitled to request a return where:

  • The product delivered is materially defective or damaged;
  • The product delivered does not conform to the listing description;
  • An incorrect product was delivered;
  • The product is expired, unsafe, or non-compliant with applicable agricultural regulations.
2.2 Return Timeframe:

Return requests must be submitted within 5 calendar days of confirmed delivery. ETG recommends Buyers inspect goods immediately upon receipt.

2.3 Return Conditions:

Returned goods must be:

  • Unused and in their original condition (where the defect permits);
  • In original packaging with all labels intact;
  • Accompanied by proof of purchase (Order ID and platform receipt);
  • Supported by photographic or video evidence of the defect or discrepancy.
2.4 Non-Returnable Products:

Due to safety, regulatory, and agricultural integrity considerations, the following are not eligible for return:

  • Opened seed packets (once opened, cannot be re-sold due to chain-of-custody requirements under seed laws);
  • Used or opened agrochemicals, fertilizers, or chemical crop protection products;
  • Perishable, temperature-sensitive, or degradable goods once delivered;
  • Customized or special-order items;
  • Any product whose return is prohibited under applicable pesticide or seed legislation in the User's jurisdiction.

3. Refund Policy

3.1 Refund Responsibility:

All refunds are processed and issued by the respective Seller. ETG facilitates the process and may intervene in dispute escalation but does not issue refunds from its own funds except in cases where ETG is the direct seller.

3.2 Refund Timeline:

Sellers are required to process approved refunds within 7 working days of return approval. Payment method timelines:

3.3 Partial Refunds:

Sellers may issue a partial refund where: (a) the product is returned in a condition other than received due to Buyer misuse; or (b) only part of an order is eligible for return.

3.4 Non-Refundable Amounts:

Delivery charges are non-refundable except where the non-delivery or defective delivery is attributable to the Seller.

5. Dispute Escalation

5.1

Where a Seller rejects a return or refund request that the Buyer believes is valid, the Buyer may escalate the dispute to ETG via in-app support or support@etgonestopsolution.com within 7 days of the Seller's decision.

5.2

ETG will investigate and facilitate mediation. ETG's facilitation role does not create financial liability on ETG for the disputed amount.

5.3

In cases of verified Seller fraud, product adulteration, or regulatory violations, ETG reserves the right to take direct remedial action including Seller suspension and facilitation of refund recovery.

6. Consumer Protection — Jurisdiction-Specific Rights

Notwithstanding the above, Buyers retain all statutory rights conferred by the consumer protection legislation of their jurisdiction. These policies do not limit or exclude any rights that cannot be excluded under Applicable Law:

3. AGRICULTURAL ADVISORY, CROP DOCTOR & WEATHER FORECAST DISCLAIMER

CRITICAL DISCLAIMER — AGRICULTURAL ADVISORY CONTENT

ALL content provided through ETG One Stop Solution's advisory features — including the Crop Doctor, Weather Forecasts, Agronomy Tips, Crop Manuals, Fertilizer Recommendations, Expert Advice, and Pest & Disease Alerts — is provided for GENERAL INFORMATIONAL PURPOSES ONLY. It is NOT a substitute for professional agronomic consultation, laboratory testing, or government agricultural extension services.

1. Scope of This Disclaimer

This Disclaimer applies to all Agricultural Advisory Content features of the Platform including:

  • Live Weather Forecast (village-level meteorological data from third-party providers)
  • Crop Doctor (AI-powered disease and pest diagnostic tool via Plantix integration)
  • Crop Manuals and Agronomy Tips
  • Fertilizer Recommendations and Calculators
  • Expert Advice (responses from agronomists engaged via the Platform)
  • Pest & Disease Alerts and Notifications
  • Seasonal Planning Tools

2. Nature of Advisory Content

2.1

All advisory content is generated based on general agronomic data, third-party meteorological services, AI algorithmic outputs, and the general knowledge of engaged agronomists. It does not account for:

  • The specific soil composition, drainage, topography, or microclimate of the User's farm;
  • Local pest resistance patterns or particular crop variety susceptibilities;
  • Recent regulatory changes affecting product registrations or application rates;
  • Adverse interactions with prior or concurrent chemical applications;
  • Individual farm management history or contamination status.
2.2 Crop Doctor AI Outputs:

Disease and pest identification outputs are generated by automated AI systems and are subject to the inherent limitations of image-based diagnosis. Outputs may be inaccurate, incomplete, or inapplicable to the User's specific situation.

3. ETG's Limitation of Liability for Advisory Content

ETG expressly disclaims all liability for:

  • Crop losses, yield reductions, or input wastage resulting from acting on advisory content;
  • Physical, financial, or environmental harm resulting from the application of recommended agrochemicals or inputs;
  • Loss resulting from inaccurate weather forecasts or failure to anticipate adverse weather events;
  • Misidentification of crop diseases or pests by the Crop Doctor feature;
  • Expert advice that is not applicable to the User's specific local conditions;
  • Any regulatory penalty arising from the User's use of recommended products in jurisdictions where such products are not registered.

4. User Responsibilities

Users must:

  • A. Independently verify all advisory recommendations with a qualified local agronomist or government extension officer before field application;
  • B. Read and follow all product label instructions and safety data sheets;
  • C. Comply with all national and local regulations governing the use of agricultural chemicals, including applicable buffer zones, re-entry intervals, and pre-harvest intervals;
  • D. Conduct small-scale trials before full-scale application of unfamiliar products or practices;
  • E. Ensure all chemical handlers have appropriate protective equipment and training;
  • F. Dispose of chemical containers and waste in accordance with national environmental regulations.

5. Third-Party Data & Services

The Platform integrates third-party services including meteorological data providers and the Plantix disease detection platform. ETG does not warrant the accuracy, completeness, or reliability of third-party data. ETG's liability for third-party service failures is limited to the extent of ETG's contractual rights against such third parties.

4. BUYER TERMS & CONDITIONS

1. Buyer Acknowledgment

READ BEFORE PURCHASING

By placing an order on ETG One Stop Solution, you acknowledge that: (1) ETG acts as a facilitating digital platform, not as the seller; (2) the respective Seller is solely responsible for product quality, fulfilment, and after-sales service; and (3) your purchase contract is formed with the Seller, not with ETG.

2. Order Placement

2.1

By submitting an order, the Buyer makes an offer to purchase the product at the listed price and terms. The order is accepted when the Seller confirms acceptance through the Platform.

2.2

Buyers are responsible for verifying that the product is suitable for their specific use, local regulatory compliance, and intended crops before placing an order.

2.3

ETG does not guarantee product availability and is not responsible for Seller-initiated cancellations due to stock-out or other operational reasons.

3. Buyer Rights

As a Buyer, you have the right to:

  • Receive products that match the description on the Platform in all material respects;
  • Receive products that are safe, of merchantable quality, and fit for their stated purpose;
  • Raise a return request within 5 calendar days of delivery for eligible products (see Return Policy);
  • Receive a full refund for valid returns or seller-initiated cancellations;
  • Escalate unresolved disputes to ETG support;
  • Exercise all statutory consumer rights under Applicable Law.

4. Buyer Responsibilities

Buyers must:

  • Provide accurate delivery information, including correct address and accessible contact number;
  • Be available to receive delivery or arrange an authorized recipient;
  • Inspect goods promptly upon delivery and raise any concerns within the return window;
  • Use purchased products in accordance with label instructions and applicable law;
  • Not misuse the returns process, submit fraudulent claims, or abuse promotional offers.

5. Product Safety — Buyer Notice for Agri-Inputs

IMPORTANT SAFETY NOTICE FOR AGRICULTURAL INPUTS

Agricultural chemicals, fertilizers, and pesticides are regulated products. Always read product labels. Store safely away from children and water sources. Wear protective equipment when handling. Follow all re-entry intervals and pre-harvest intervals. Dispose of containers responsibly. ETG and Sellers are not liable for injury or damage arising from product misuse.

6. Limitation of ETG's Liability to Buyers

ETG's liability to Buyers is limited as specified in the Master Terms & Conditions (Document 1). Buyers' primary recourse for product-related claims is against the Seller. ETG's facilitation role does not create direct liability for product defects, non-delivery, or quality failures attributable to Sellers.

5. PLATFORM CONDUCT, FRAUD PREVENTION & CONTENT POLICY

1. Prohibited Conduct — All Users

The following conduct is strictly prohibited on the Platform:

  • Listing, selling, or promoting counterfeit, adulterated, or mislabeled agricultural products;
  • Providing false, misleading, or deceptive information in product listings, reviews, or communications;
  • Manipulating platform ratings, reviews, or rankings through fraudulent means;
  • Using the Platform to facilitate money laundering, fraud, or any illegal financial activity;
  • Unauthorized access to other users' accounts, platform systems, or data;
  • Posting content that is defamatory, abusive, harassing, or violates applicable law;
  • Circumventing platform payment systems to conduct off-platform transactions;
  • Registering multiple accounts to exploit promotional offers or manipulate platform data.

2. Fraud Prevention Framework

ETG employs automated and manual fraud detection measures. ETG reserves the right to:

  • Suspend accounts pending investigation where fraudulent activity is suspected;
  • Reject return or refund claims that show indicators of fraud or abuse;
  • Report confirmed fraud to relevant law enforcement and regulatory authorities in applicable jurisdictions;
  • Pursue civil and criminal remedies against Users who engage in fraudulent activity.

3. Regulatory Non-Compliance

ETG will cooperate fully with regulatory authorities in all operating jurisdictions. Where a regulatory authority issues a directive, inspection notice, or enforcement action relating to Platform activities, ETG will comply and may suspend relevant Sellers or products without prior notice.

4. Reporting Mechanism

Users may report violations, fraudulent listings, unsafe products, or conduct concerns via:

  • In-app 'Report' function on any product listing or user profile;

ETG will acknowledge reports within 48 hours and provide a resolution update within 7 working days.

6. MULTI-COUNTRY REGULATORY COMPLIANCE ANNEX

This Annex identifies the primary regulatory frameworks applicable to ETG's operations in each jurisdiction. It supplements all other documents in this suite and should be read in conjunction with them. ETG's legal obligations under these frameworks are non-exhaustive; ETG shall comply with all Applicable Law as amended from time to time.
